TERMS AND CONDITIONS FOR MILLIONAIREASIA MASTER AWARD

These terms and conditions (“Terms”) define the contractual relationship between Millionaireasia Pte Ltd (the “MA”) and the entity (either business unit or individual). The applicant shall be deemed to have read and accepted the Terms. The Terms may be amended by MA from time to time without prior notice. The amended Terms shall be effective as soon as it is published on MA’s website. Applicant must review these Terms periodically as their continued participation in the Award is deemed acceptance of any revised Terms, in force at the time.

1. Making an application

a) All applications are subject to acceptance by MA at its sole discretion. MA shall notify the entity if the Award application has been accepted within 14 days. MA shall be under no obligation to provide any reason(s) for the rejection of applications.

b) Entries must be made following the process and rules set out on the Award Criteria, available on MA’s website.

c) MA will not accept responsibility for Entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind. For the avoidance of doubt, proof of posting or transmission of a lost or delayed Entry for the Award will not be accepted as a valid or alternative application.

d) The Award is presented to the entity. Awardees are responsible for ensuring that no third party uses the awarded Logo and Name. Access to and use of the awarded Logo and Name in business cards is governed by the agreement between the entity and MA. The copyrights of the Logo and Name belongs to MA. The design, shape & size including the pantone colour used, must be strictly adhere to. Awardees are solely responsible for using the awarded Logo and Name, and the awardee agree to notify MA immediately if she believes that there has been any breach of confidence and misuse, including the unauthorised use of the awarded Logo and Name.

e) During the participation of the events organised by MA, awardees are not permitted to solicit or paddle for business. While MA welcomes all eligible businesses to apply, MA may from time to time apply certain criteria with respect to the composition of its businesses, including the number of applicants who are involved in certain industries. In the event of any false declaration, MA reserves the right to terminate the presentation of the Award, without any form of refund to the awardee.

2. Types, Fees and Payment

a) The MASTER Awards comprises 2 main categories Prestige & Aspire and their application fees are Free of Charge.

b) MA reserves the right to adjust its fees and shall provide applicants with at least thirty (30) days’ advance notice in respect of any such adjustment.

3. Eligibility & Judging

a) For the Prestige category, the enterprise or individuals must achieve at least (i) US$1 Million Revenue OR (ii) US$1 Million paid-up capital; for the period from 1 January 2019 to 31 December 2021, within one calendar (or accounting) year.

b) For the Aspire category award, the enterprise or individuals must achieve at least (i) US$200,000 Revenue OR (ii) US$200,000 paid-up capital; for the period from 1 January 2019 to 31 December 2021 within one calendar (or accounting) year.

c) Any material supplied in support of an entry may be (i) Accounting and Corporate Regulatory Authority (“ACRA”) OR (ii) Annual Financial Reports (iii) Singapore Business Federation membership annual subscription invoice OR (iv) IRAS statement. In the submission of such document, the applicant is allowed to “blank out” any confidential or irrelevant information.

d) The Entries will be validated by MA. She will consider an Entry on its merits and solely on the basis of the information provided. The decision of the management shall be final and MA will not entertain any correspondence or discussion with any entrants nor will MA accept any submissions, representations or appeals with regard to such decision. MA reserves the right not to make any particular award in any given category.

e) All Entry and any supporting documentation will not be considered confidential information unless clearly identified as ‘Confidential’ and the applicant agree that MA and/or the Group Companies can use the information (or parts of the information) contained in the Entry submitted for publicity purposes in or any media and for the purposes of promoting the Awards.

4. Cancellation

a) MA reserves the right to cancel or postpone the Awards Ceremony.

b) MA reserves the right to change the Awards Ceremony presenter or any other performers and do not guarantee the attendance of any particular guest.

5. Personal data protection

Application is subject to MA’s privacy policy, incorporated into these Terms by reference and is accessible at the website, which applies at all times in relation to any data MA collects from the entity. Applicants agreed that their information provided for the application to MA, for the purpose of the Award, may be given to MA’s Presenter & Sponsors for the purpose of marketing.

6. Limitation of liability

a) Neither the entity nor MA shall exclude or limit MA’s liability for (a) death or personal injury caused by negligence, (b) fraud and/or fraudulent misrepresentation.

b) The applicant shall not exclude or limit her liability under any indemnities given by her under this Agreement.

c) The applicant shall fully and effectively indemnify and hold harmless MA and any Group Company against all losses, actions, costs (including legal fees and disbursements on a solicitor/client basis), claims, demands, fines, damages and liabilities, of whatever nature, incurred or suffered by or made against MA, whether or not foreseeable, arising directly or indirectly, wholly or in part, out of or in connection with: any breach of this Agreement by the applicant; and any acts or omissions of the individual, the applicant’s employees, agents, contractors, visitors, Attendees and/or guests at the Venue arising out of or in connection with the Awards Ceremony and/or the Venue.

d) MA shall not (whether in contract, tort, negligence, statutory duty or otherwise) be liable to the applicant under this Agreement for consequential, indirect or special damages (including indirect loss of profit and indirect loss of revenue).

e) Subject to the clauses above, MA’s maximum aggregate liability to the applicant under this Agreement (whether arising in contract, tort, negligence, statutory duty or otherwise) shall not exceed the Fees the applicant paid to MA.

f) This Clause 6 shall survive termination of these Terms.

7. Termination

a) MA reserves the rights to refuse presentation of the applicant’s award if (i) applicants have made any false declaration in their applications or (ii) applicant breach the terms and conditions of award

b) MA reserves its right in its sole discretion to terminate or suspend the applicant’s award where it has reason to do so. If MA terminates an entity’s award, where it is reasonable to do so, the awarded entity shall stop using the awarded Logo and Name with immediate effect.

8. Miscellaneous

a) MA reserves the right to interpret, apply and communicate these Terms as posted on its website. All decisions made by MA shall be final and conclusive in each case.

b) These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any unresolved dispute arising under, out of, or in connection with these Terms, including any questions regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force.

c) Notwithstanding anything in these Terms, in the event of any dispute no party shall proceed to any dispute resolution unless the parties have made reasonable efforts to resolve the same through mediation in accordance with the mediation rules of the Singapore Mediation Centre for the time being in force.

d) To the extent that any provision contained or referred to herein is contrary to anything contained in any applicable laws, government regulations, orders or requirements that cannot be waived by agreement of the parties, such provision shall not apply. The invalidity of any provision shall not affect the validity of any other provision.
